1. Who you are contracting with

The Raindrop service (the “Service”) is provided by Dalilah-Rain Freedman(“Raindrop”, “we”, “us”). By creating an account or otherwise using the Service you agree to these Terms & Conditions. If you are using the Service on behalf of a funeral home or other organization, you confirm you have authority to bind that organization to these Terms.

2. The Service

Raindrop is a software platform for funeral homes, certifying physicians, town clerks, and the families they serve, including case management, accounting, family customs, EDRS filing, and the doctor → clerk → home certificate handoff.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose, fraud, or to send spam;
  • infringe the intellectual property or privacy rights of others;
  • upload malware, probe, scan, or attempt to breach security or authentication;
  • scrape, reverse engineer, or attempt to derive source code from the Service;
  • resell, sublicense, or share access outside your organization.

4. Accounts and credentials

You are responsible for keeping account credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it current.

5. Intellectual property

Raindrop and its licensors retain all right, title, and interest in the Service, including software, documentation, and branding. Subject to these Terms we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations during your active subscription.

6. Customer content

You retain ownership of the case, family, and operational data you submit. You grant us a limited license to host, process, and display that content solely to provide and support the Service.

7. Payments, subscriptions, taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Billing frequency, renewal, taxes, and cancellation mechanics are governed by Paddle’s Buyer Terms. Subscriptions renew automatically until cancelled.

8. Refunds

Refund handling is described in our Refund Policy.

9. Service level

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

10. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. On termination we will provide a reasonable window to export your data before deletion.

11. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with these Terms is limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify Raindrop against claims arising from your content, your use of the Service in violation of these Terms, or your unlawful conduct.

13. Governing law

These Terms are governed by the laws of the seller’s jurisdiction. Disputes will be resolved in the competent courts of that jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be communicated in-app or by email before they take effect.
